Terms of Service

1. Introduction and parties

1.1 The Service Provider

(hereinafter: Service Provider or EchoAI)

1.2 The User

A natural or legal person who registers, creates an account, or uses the services of the Platform (hereinafter: User).

1.3 Scope of these Terms

These Terms of Service (hereinafter: Terms) govern the use of the SaaS platform operated by the Service Provider under the name EchoAI (hereinafter: Platform). The Platform may not be used without acceptance of these Terms.

Registration or use of any Platform service constitutes acceptance of these Terms.

2. Definitions

  • Assistant: the artificial intelligence-based chatbot created on the Platform, which may be of three types: Public (website chat), Knowledge Base (internal team) or Contract.

  • Knowledge Base: content uploaded by the User to train an Assistant (text, URL, PDF, YouTube video transcript, CSV).

  • Lead: contact information (name, email, phone number) voluntarily provided by a website visitor during a conversation with the Public Assistant.

  • Contract Template: a DOCX document uploaded by the User from which the Platform generates AI-based contracts.

  • Organization (Workspace): the foundational unit of the Platform's data structure. Every Assistant, Content item, and Lead belongs to an Organization.

  • Admin: a User with full permissions in an Organization.

  • Member: a User with restricted (read-only) permissions in an Organization.

  • End User: a person visiting the User's website who chats with the embedded EchoAI Assistant.

  • Platform: the EchoAI SaaS system operated by the Service Provider.

3. Registration and account

3.1 Eligibility

The User must be at least 16 years of age to use the Platform. Persons under 16 may not register. Natural persons acting on behalf of a legal entity must hold proper authorisation.

3.2 Method of registration

Registration is performed via Google OAuth authentication. Password-based registration is not currently available. During Google account authentication, the Service Provider obtains the user's name, email address, and public profile picture.

3.3 Account security

The User is responsible for the security of their Google account. Upon detecting unauthorised access, the User must notify the Service Provider without delay at support@echoai.hu.

3.4 One person, one account

A person may create only one account per email address. Creating multiple accounts for the same person is prohibited.

4. Organizations (Workspaces)

4.1 Automatic Organization creation

Upon registration, the User automatically receives a personal Organization in which they hold the Admin role.

4.2 Additional Organizations

The User may create additional Organizations or, upon invitation by an Admin, may join existing Organizations.

4.3 Free Organization limit

A User may be Admin in no more than 2 free Organizations. Additional Organizations require at least one of the existing ones to be upgraded to a paid plan.

4.4 Roles

  • Admin: full permissions — Assistants, Content, Leads, Forms, Members, Billing, Organization deletion.

  • Member: read-only permissions; cannot create, modify, or delete data.

4.5 Member invitation

Admins may invite new Members by email address. The invitation is delivered via email. Acceptance of the invitation is performed via Google account.

4.6 Deletion of an Organization

Only an Admin may delete an Organization. Deletion permanently and irrevocably removes all data belonging to the Organization (Assistants, Content, Leads, integrations), subject to the retention periods set out in Section 14 of these Terms.

5. Subscription plans

5.1 The plans

The Platform offers three subscription tiers:

Current pricing is published at echoai.hu/pricing. The Service Provider reserves the right to unilaterally modify prices subject to the notification procedure set out in Section 18.

5.2 Message limit calculation

The Messages/month limit is calculated on a rolling 30-day basis. The counter does not reset at the end of the calendar month, but resets continuously on a rolling basis.

5.3 Content limit

The Content items limit applies to all Assistants of the relevant Organization combined.

5.4 Limit overage

Limit reached Consequence
Assistants New Assistant creation is not possible. Existing Assistants continue to function.
Content New Content uploads are not possible. Existing Content remains accessible.
Messages/month The Public Assistant temporarily displays a message to End Users about the limit being reached. The counter resets on a rolling 30-day basis.

To remove limits, the User upgrades to a higher plan or removes unused resources.

5.5 Voucher programs

The Service Provider may from time to time launch voucher-based free or discounted access programs. In addition to these Terms, the relevant Voucher Redemption Terms apply, which are accepted upon redemption of the Voucher. In case of conflict, the Voucher Redemption Terms prevail with respect to the subject matter of the Voucher program.

6. Payment

6.1 Payment processor

Payments are processed via Stripe (Stripe Payments Europe Limited, with registered office in Ireland). The User's payment information is handled by Stripe; the Service Provider does not store card data.

6.2 Billing cycle

Subscriptions are billed on a monthly cycle. Payment is made in advance, and the plan is activated on the first day of the subscription period.

6.3 VAT

The Service Provider is a Hungarian VAT taxable person. For B2B customers within the EU, reverse VAT charging applies. For customers outside the EU, no VAT is charged. Invoices may be viewed and downloaded via the Stripe Billing Portal.

6.4 Automatic renewal

Subscriptions automatically renew at the end of each billing cycle, unless the User cancels the subscription before the end of the cycle.

6.5 Failed payment

In case of a failed payment, the Service Provider uses Stripe's built-in retry logic. After two consecutive failed payments, the Platform downgrades the Organization to the Free plan.

6.6 Cancellation

The User may cancel the subscription at any time on the Plan page within the Platform. Cancellation takes effect at the end of the current billing period. Until then, the User retains full access. After the period ends, the Organization automatically reverts to the Free plan.

6.7 Refunds

No refunds are issued for already paid periods, except:

  • where the Service Provider is unable to provide the service due to prolonged Platform unavailability through no fault of the User;

  • in cases of withdrawal rights granted by applicable consumer protection laws (for consumer Users, within 14 days, where performance has not yet commenced).

7. Service description

7.1 Features

The Platform provides the following main features:

  • Public Assistant — AI chatbot embedded into a website, conversing with End Users.

  • Knowledge Base Assistant — for internal team use, organising company knowledge.

  • Contract Assistant — AI field detection and contract generation from DOCX templates.

  • Knowledge Base building — text, URL, YouTube, PDF, CSV import; WordPress, Framer integration.

  • Lead capture — conversational forms in chat.

  • Embedding — Floating button, WordPress plugin, Framer, Embedded widget, SDK.

  • Team management — Organizations, roles, invitations.

7.2 Availability

The Service Provider strives to maintain 99% monthly Platform availability. The Service Provider notifies Users of scheduled maintenance in advance where possible.

A higher SLA tier (99.9% or above) is available only under a separate, individual B2B agreement.

7.3 Maintenance

The Service Provider reserves the right to perform periodic maintenance of the Platform. Scheduled maintenance is preceded by prior notification. Emergency or immediate maintenance (e.g. security incident) may be performed without prior notification.

8. User obligations

8.1 Content upload responsibility

The User warrants that:

  • they upload only content to the Knowledge Base which they have the right to publish or process;

  • the uploaded content does not infringe third-party copyright, personality rights, data protection rights, or other rights;

  • they do not upload illegal, racist, violent, child-pornographic, hateful, or otherwise unlawful content;

  • they do not upload malware, compromised security content, or spam.

8.2 Personal data

If content uploaded by the User contains personal data, the User is the data controller and the Service Provider is the data processor. The User must comply with the GDPR and applicable data protection laws.

8.3 Acceptable Use Policy (AUP)

This section sets out prohibited use cases in detail. Violations may result in suspension or termination as set out in Section 13 of these Terms.

8.3.1 Unlawful content and activities

The Platform may not be used:

  • for any unlawful purpose or to facilitate any unlawful activity;

  • to upload content that infringes copyright, trademark, or other intellectual property rights;

  • to publish content that infringes personality rights, good reputation, or fair competition;

  • to store or process content depicting child sexual exploitation (CSAM) — zero tolerance, immediate suspension and reporting to authorities.

8.3.2 Security and technical abuse

It is prohibited to:

  • upload or distribute malware, viruses, backdoors, or exploit code;

  • jeopardise the security of the Platform, the infrastructure, or other Users;

  • engage in DDoS, brute force attacks, or rate limit circumvention via automated tools;

  • perform model scraping (mass extraction of AI responses for competitor development);

  • reverse engineer, decompile, or attempt to extract source code;

  • use bots or scrapers in a manner that jeopardises Platform stability;

  • attempt unauthorised intrusion into other Users' Organizations.

8.3.3 Content prohibitions

It is prohibited to upload content that:

  • is inflammatory, hateful, or discriminatory (based on race, gender, religion, sexual orientation, nationality, disability);

  • promotes or glorifies violence;

  • is threatening, harassing, or humiliating;

  • spreads false information (disinformation) on public health, elections, or other critical matters;

  • contains pornography (except where the User is explicitly an adult-content provider and this has been agreed in advance);

  • is intended for sale of illegal goods or services (drugs, weapons, stolen data, counterfeits).

8.3.4 Communication abuse

It is prohibited to:

  • send spam or mass unsolicited messages via the Lead capture or email notification features;

  • conduct phishing or social engineering attacks via the Platform;

  • send misleading or deceptive messages to other users;

  • use the Public Assistant in a manner that may mislead the End User as to the AI nature of the Assistant (e.g. impersonating a human).

8.3.5 Business restrictions

It is prohibited to:

  • create a competing service built on the Platform;

  • generate synthetic training data from AI responses for a rival model;

  • resell or distribute the Platform without separate agreement;

  • create multiple accounts to circumvent plan limits.

8.3.6 Reporting and enforcement

Report abuse to: safety@echoai.hu

The Service Provider may investigate User activity based on its own findings or third-party reports. In case of serious or repeated violations, the Organization may be immediately suspended. The Service Provider may transfer information about identified violations to the competent authority.

When using the Public Assistant's Lead capture feature, the User must:

  • provide clear information to the End User that contact data is being collected;

  • have an appropriate legal basis (contract performance, legitimate interest, consent);

  • comply with the GDPR and other applicable data protection rules.

The Service Provider acts as data processor in this context.

9. AI responses and their limitations

9.1 Nature of responses

The Platform provides responses generated by large language models (LLMs). These responses are probabilistic and may be:

  • inaccurate;

  • incomplete;

  • outdated;

  • factually incorrect (so-called "hallucinations").

9.2 No professional advice

Responses generated by the Platform do not constitute legal, medical, financial, tax, professional, or other advice. Users and End Users must not rely solely on these responses for decisions with legal, business, or health consequences.

9.3 Verification obligation

The User must verify every AI-generated response before use, and treat it according to their own professional judgment.

9.4 Special rules for the Contract Assistant

Documents generated by the Contract Assistant are AI-template-based outputs. They do not replace legal advice from an attorney. The User must:

  • have every generated contract reviewed by an attorney before using it in a legally binding situation;

  • ensure that the template and the entered data are valid in the relevant jurisdiction and transaction;

  • acknowledge that EchoAI is not an electronic signature provider; signature authenticity is the User's responsibility.

10. Intellectual property

10.1 User ownership

The User retains ownership of:

  • all Content uploaded by them (text, URL, PDF, CSV, YouTube link, contract template);

  • all input entered by them or by End Users;

  • all AI-generated output used by the User or End Users in the context of their Organization.

The Service Provider hereby assigns to the User any rights it may have in AI-generated output, to the extent permitted by applicable law.

10.2 Service Provider ownership

The Service Provider retains ownership of:

  • the Platform source code;

  • visual identity, logos, trademarks;

  • documentation and guides;

  • internal algorithms and technological solutions developed for the operation of the Platform.

10.3 License grant

For the duration of these Terms, the User grants the Service Provider a non-exclusive, revocable, worldwide license to store, process, and transmit uploaded Content and conversational input for AI inference purposes — strictly to the extent necessary for Platform operation.

10.4 Feedback

If the User submits feedback, suggestions, or ideas to the Service Provider, the Service Provider may use them without compensation to develop the Platform.

11. AI model training — we do NOT use customer data

The Service Provider declares:

  • Content uploaded by the User, chat messages, Leads, and contract data are NOT used to train its own AI models.

  • Under contracts with the external AI providers used (OpenAI, z.AI), these providers are contractually bound not to use data routed through the Platform to train their own models.

  • During Platform development, the Service Provider uses only anonymised, aggregated usage metrics.

12. Data portability

12.1 Export options

The User may export their data at any time:

  • Leads: in CSV or JSON format on the Leads page;

  • Contracts: downloadable in DOCX and PDF format;

  • Conversations: in CSV or JSON format on the Conversations page.

12.2 Export upon termination

Before cancelling a subscription or deleting an Organization, the User must export their own data. After the deletion period set out in Section 14, the Service Provider cannot restore the data.

13. Suspension, termination

13.1 Suspension by the Service Provider

The Service Provider may suspend or terminate the User's Organization if:

  • the User repeatedly or seriously violates these Terms or the AUP;

  • payment delay exceeds 30 days;

  • the User uses the Platform for unlawful activity;

  • the User jeopardises Platform stability.

In case of serious violation, the Service Provider may suspend the Organization with immediate effect. For non-serious violations, a 14-day cure period must be granted.

13.2 Termination by the User

The User may cancel the subscription at any time without justification (per Section 6.6). Organization deletion (free or paid) may also be initiated at any time per Section 4.6.

13.3 Extraordinary termination

Either party may terminate these Terms with immediate effect if the other party seriously and repeatedly breaches the contract and fails to remedy the breach within 14 days of notice.

14. Data deletion after termination

14.1 Handling of data upon account termination

After Organization deletion:

  • Personal-identifying data (account, email, usage metrics): deletion within 30 days;

  • Uploaded Content (PDF, CSV, text, URL): deletion within 30 days;

  • Chat messages, Leads: deletion after the 60-day default retention period expires;

  • Accounting documents (invoices, payment receipts): retained for 8 years as required by Hungarian accounting law;

  • System logs (security, audit): 6 months.

14.2 Backups

Deletion from backups occurs automatically as part of regular backup rotation, but no later than 90 days.

15. Liability

15.1 Limitation of liability

The Service Provider's liability towards the User for Platform malfunction, unavailability, data loss, or other damages is limited to the amount of subscription fees paid by the User to the Service Provider in the past 6 months.

15.2 Excluded damages

The Service Provider is not liable for:

  • lost profits;

  • indirect and consequential damages;

  • decisions made by Users or End Users in reliance on AI responses (see Section 9);

  • legal consequences of content uploaded by the User;

  • legal validity of documents generated by the Contract Assistant.

15.3 Exceptions to the limitation of liability

The above limitations of liability do not apply:

  • to damages caused intentionally or by gross negligence;

  • where the law mandates greater liability (e.g. consumer protection laws).

16. Warranty

16.1 "As is"

The Platform is provided "as is". The Service Provider does not warrant:

  • that the Platform will be error-free;

  • that the Platform will satisfy every requirement;

  • the accuracy, reliability, or completeness of AI responses;

  • the uninterrupted operation of third-party integrations (WordPress, Framer).

16.2 Security

The Service Provider takes reasonable technical and organisational measures to safeguard User data, but cannot guarantee absolute security.

17. Force majeure

Neither party is liable for failure to perform the contract due to force majeure (war, natural disaster, strike, governmental measure, internet infrastructure outage).

18. Modification

18.1 Right to modify

The Service Provider reserves the right to unilaterally modify these Terms.

18.2 Notice

For material modifications, the Service Provider notifies Users by email and via in-Platform message at least 30 calendar days prior to the effective date.

18.3 Acceptance

Continued use after the effective date of the modification constitutes acceptance of the modified Terms. If the User does not accept the modification, they may cancel the subscription up to the effective date.

19. Miscellaneous

19.1 Governing law

These Terms are governed by the laws of Hungary, excluding its conflict of laws rules.

19.2 Jurisdiction

Disputes arising from these Terms — where the parties cannot resolve them by agreement — are subject to the exclusive jurisdiction of the court at the Service Provider's registered office in Hungary. This does not affect the right of consumer Users to bring proceedings in the court of their place of residence.

19.3 Severability

If any provision of these Terms is found invalid, this does not affect the validity of the remaining provisions.

19.4 Language

These Terms were drafted in Hungarian. An English translation is available at echoai.com/terms; in case of any discrepancy, the Hungarian version prevails.

The following form an inseparable part of these Terms:

  • Privacy Policy (echoai.hu/privacy) — also contains the Cookie Notice and the Subprocessor list.

  • Data Processing Agreement (DPA) (echoai.hu/dpa) — under GDPR Article 28; B2B customers may request a separately signable PDF version: privacy@echoai.hu.

The Acceptable Use Policy (AUP) is set out in Section 8.3 of these Terms.
